Shadow AI in IP Departments: Three Patterns, Zero Governance
Three patterns of ungoverned AI adoption now visible inside IP departments, the four risk vectors they create, and the minimum governance structure that can be put in place in weeks rather than months.
Over a recent three-month period, the same phenomenon was observed at seven separate organizations. Individual attorneys or small teams within IP departments are independently adopting AI platforms for prosecution-related tasks, drafting, prior art search, office action response summaries, claims analysis, with no central oversight, no shared evaluation framework, and no governance structure.
The platforms vary. The motivations are consistent. And the organizational response, in nearly every case, has been either unawareness or tacit tolerance without formal acknowledgment.
Three Patterns
Pattern 1: The Solo Experimenter. An individual patent attorney discovers an AI drafting platform through a conference demonstration, a peer recommendation, or independent research. They begin using it on their own docket, typically for first-draft claims construction or prior art summaries. The platform is accessed through a personal account or a free trial. No IT involvement. No procurement review. No discussion with practice leadership.
The attorney finds the platform useful and continues using it. Over time, their workflow incorporates it as a default step. If the platform produces an error that is caught during internal review, it is corrected silently. If the platform produces an error that is not caught, it may propagate into a filing.
This pattern is the most common and the most difficult to detect because it operates entirely within an individual’s workflow. The organization has no visibility into the platform’s existence, the data it accesses, or the outputs it produces.
Pattern 2: The Parallel Pilot. Two or three teams within the same IP department independently evaluate competing AI platforms for the same or overlapping workflow steps. The patent prosecution team is piloting Platform A for drafting. The search team is testing Platform B for prior art analysis. A third group is evaluating Platform C for office action response generation.
Each pilot operates under its own evaluation criteria, its own timeline, and its own success metrics. The teams may or may not be aware of each other’s activities. The total spend across the three pilots, when licensing costs, training time, and integration effort are aggregated, exceeds what a coordinated evaluation would have required. And the organization will eventually need to reconcile three separate platform decisions into a coherent architecture.
Pattern 3: The Shadow Build. An attorney or technical staff member with sufficient technical capability builds a custom solution. A GPT configured with firm-specific prosecution templates. A retrieval-augmented generation system trained on the firm’s patent portfolio. An automated workflow that chains API calls to multiple AI services for a specific analysis task.
The build operates outside the firm’s IT infrastructure. Data flows through external APIs with no data loss prevention controls. The solution’s reliability is tested informally against a small number of cases. If the builder leaves the organization, the solution becomes unmaintained and potentially inaccessible.
The Risk Profile
The risks associated with ungoverned AI adoption in IP departments cluster around four vectors.
Quality risk. AI-generated patent drafting, prior art analysis, and office action responses contain errors at rates that vary significantly by platform, by technology domain, and by complexity of the underlying invention. Without a validation protocol, errors propagate into filings. The consequences range from prosecution delays to compromised patent scope to malpractice exposure.
Data risk. AI platforms that process patent applications, invention disclosures, or client communications access confidential information. When these platforms are adopted without IT review, the organization has no assurance that the data handling practices meet its obligations under client confidentiality agreements, ethical rules, or data protection regulations.
Financial risk. Parallel pilots, redundant licensing, and duplicated evaluation effort represent direct cost inefficiency. More significantly, the absence of a coordinated approach means the organization cannot negotiate volume licensing, cannot standardize training, and cannot achieve the operational efficiency that a deliberate adoption strategy would produce.
Architectural risk. Each independently adopted platform creates a dependency that becomes progressively more difficult to unwind. When the organization eventually attempts to implement a coherent AI strategy, it must contend with established workflows, trained users, and accumulated data within platforms that may not align with the strategic direction.
Minimum Viable Governance
A comprehensive AI governance framework is a multi-quarter initiative. But the minimum viable governance structure that addresses the most acute risks can be established in weeks rather than months. It requires four elements.
An inventory. Before governance is possible, the organization must know what platforms are in use. A structured survey of the IP department, identifying which AI platforms are being used, by whom, for which workflow steps, and under what licensing arrangements, is the prerequisite for every subsequent decision.
An evaluation framework. A documented set of criteria against which any AI platform must be assessed before adoption. At minimum: data handling practices, output accuracy benchmarks, integration requirements, licensing terms, and alignment with existing workflow architecture.
A decision authority. A designated individual or committee with the authority to approve, reject, or defer AI platform adoption. This authority must possess sufficient technical understanding to evaluate the platforms and sufficient operational understanding to assess their workflow impact.
A review cadence. AI platform capabilities are evolving at a pace that renders annual reviews insufficient. A quarterly review of adopted platforms, pending evaluations, and emerging alternatives is the minimum frequency required to maintain currency.
These four elements do not constitute a comprehensive governance framework. They constitute the minimum structure necessary to transition from ungoverned adoption to deliberate decision-making. The comprehensive framework can be developed iteratively, informed by the findings of the initial inventory and the experience of the first evaluation cycle.
One observation applies to all four elements. Each of them depends on evidence that most IP departments do not currently hold. An inventory assembled by survey is accurate on the day it is completed and decays from that day forward. An evaluation framework applied before adoption says nothing about how a platform performs once it is embedded in the work. Where the platforms a team already runs are connected and the work that moves across them is orchestrated and measured, time, cost, quality, and how long each handoff waits, the inventory maintains itself, and adoption decisions are made against observed performance rather than against vendor claims or individual preference. Governance becomes a matter of reading what the department already does, rather than of asking people to report it.
